You agree to indemnify, defend, and hold harmless Rapid, its affiliates, officers, directors, employees, agents, and licensors from any claims, liabilities, damages, judgments, losses, costs, or expenses (including attorneys’ fees) arising from your use of the Website, violation of these Terms, or your User Contributions.
15.Arbitration and dispute resolution
You understand and agree to resolve through final and binding arbitration any claims, disputes, or controversies related to the Telephone Consumer Protection Act of 1991 (“TCPA”) or any similar state laws, between you and Rocket, its parents, affiliates, subsidiaries, or related entities. TCPA-related claims will be arbitrated at a location determined by the arbitrator in accordance with the Governing Law provision. The arbitrator, not a court, will determine the scope of this arbitration provision.
Any judgment on an arbitration award may be entered in any court of competent jurisdiction. This arbitration agreement is governed by the Federal Arbitration Act (“FAA”), with the laws of the State of Michigan governing the enforceability of this provision as a contract. TCPA claims must be brought individually; neither you nor Rapid may join or consolidate claims in arbitration, act as a class representative, or participate as a member of a class. Both parties waive any right to a jury trial for TCPA-related claims.
All other claims arising under these Terms or from use of the Website shall be resolved exclusively in the state or federal courts located in Detroit, Michigan, and you consent to the jurisdiction of these courts for such purposes.
16. Governing law
These Terms and any disputes arising from your use of the Website shall be governed by the laws of the State of Michigan, without regard to its conflict of law principles.
17. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
18. Entire agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and Rapid concerning your use of the Website, superseding any prior agreements or understandings.
